1. Scope of Application
These Terms and Conditions (“T&C”) apply to all contracts concluded between Flex UG (haftungsbeschränkt) (“we”, “us”, “our”) and consumers (“customer”) via our online shop.
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.
Any conflicting terms proposed by the customer are hereby rejected unless expressly agreed otherwise in writing.
2. Products and Services
We offer:

Physical goods (including kitchen equipment and branded products)
-
Digital products (including downloadable recipe PDFs and digital content)
Product descriptions in our online shop do not constitute legally binding offers but invitations to submit an order.
3. Conclusion of Contract
By completing the checkout process and submitting an order, the customer makes a binding offer.
The contract is concluded when we accept the order by:
-
sending an order confirmation email,
-
dispatching the goods, or
-
providing access to digital content.
We reserve the right to refuse orders without stating reasons.
4. Prices and Payment
All prices are final prices and include applicable VAT where required by law.
Shipping costs are displayed separately during checkout.
For deliveries outside the European Union, additional customs duties, taxes, or import fees may apply. These are the responsibility of the customer.
We accept the following payment methods:

Payment is processed immediately upon completion of the order.
5. Delivery
Physical goods are delivered to the shipping address provided by the customer.
Delivery times are indicated on the respective product pages.
Digital products are delivered electronically via download link or email.
We are not responsible for delays caused by shipping carriers or customs authorities.
6. Right of Withdrawal (EU Customers)
Consumers residing in the European Union have the right to withdraw from the contract within 14 days without giving any reason.
The withdrawal period expires 14 days after the day on which the customer, or a third party other than the carrier and indicated by the customer, acquires possession of the goods.
To exercise the right of withdrawal, the customer must inform:

by means of a clear statement (e.g., email or letter).
To meet the deadline, it is sufficient to send the communication before the withdrawal period expires.
7. Effects of Withdrawal
If the contract is withdrawn, we will reimburse all payments received from the customer, including standard delivery costs (excluding additional costs resulting from choosing a different type of delivery than our standard option), within 14 days from receiving the withdrawal notice.
Refunds will be made using the same payment method used for the original transaction.
The customer bears the direct cost of returning the goods.
8. Exclusion of the Right of Withdrawal – Digital Content
The right of withdrawal expires for contracts concerning digital content not supplied on a tangible medium if:

the customer expressly consents to immediate performance before the withdrawal period expires, and
-
the customer acknowledges that they lose their right of withdrawal by giving such consent.
Digital products are non-refundable once accessed or downloaded.
9. Returns Policy (United States Customers)
For customers residing in the United States, we voluntarily offer a 14-day return period for physical goods.
Returned items must be unused, undamaged, and in original packaging.
Return shipping costs are the responsibility of the customer.
Digital products are non-refundable once accessed.
10. Retention of Title
Goods remain our property until full payment has been received.
11. Warranty
Statutory warranty rights apply in accordance with applicable law.
12. Liability
We are fully liable for damages caused by intent or gross negligence.
In cases of slight negligence, we are liable only for breach of essential contractual obligations (cardinal obligations) and limited to foreseeable damages typical for the contract.
Mandatory statutory liability provisions, including product liability laws, remain unaffected.
13. Product Use and Safety
Customers are responsible for using products in accordance with provided instructions.
We are not liable for damage resulting from improper use.
Electrical products, where applicable, comply with relevant EU safety standards (including CE requirements).
14. Intellectual Property
All digital content, including recipe PDFs, texts, images, and branding elements, are protected by copyright and intellectual property laws.
Reproduction, distribution, or commercial use without prior written consent is prohibited.
15. Applicable Law
These Terms and Conditions are governed by the laws of the Federal Republic of Germany.
For consumers residing outside Germany, mandatory consumer protection provisions of their country of residence remain unaffected.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
16. Online Dispute Resolution (EU)
The European Commission provides a platform for online dispute resolution (ODR):

We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
